CleverDesk Terms of Service

Contractual terms for using the CleverDesk AI receptionist and booking services.

  1. Services

    CleverDesk provides an AI receptionist for inbound and outbound calls, call routing, and booking/calendar management (the “Service”). The Service is not a general contact center and is not designed for emergency dispatch.

  2. Eligibility and accounts

    You must have authority to bind your organization. You are responsible for maintaining the security of your account and for all activity under it.

  3. Acceptable use

    You will provide accurate scripts and business information, comply with laws when contacting end users, and only input data you have the right to use. No harassment, unlawful content, spam, or interference with the Service.

  4. No medical or critical advice; PHI

    The Service does not provide medical, legal, or emergency advice and must not be used for emergency response. Do not use it for protected health information (PHI) unless a separate BAA with appropriate controls is executed (none is provided by default).

  5. Call recording and consent

    Recording or transcription is optional. If you enable it, you are responsible for all required notices and consents under applicable call-recording and privacy laws.

  6. Calendars and bookings

    You are responsible for configuring availability and rules. We do not guarantee attendance, show-up rates, or booking outcomes.

  7. Data and subprocessors

    You permit us to use subprocessors to deliver the Service, including telephony/voice automation (e.g., Vapi), LLM providers for transcription/summarization/response generation (e.g., OpenAI-like LLMs), and backend/database services (e.g., Convex), plus infrastructure and monitoring providers. Processing is subject to our Privacy Policy.

  8. Service availability; no warranties

    The Service is provided on an “as is” and “as available” basis. Unless we sign a separate SLA, we do not promise uptime, performance, or specific results.

  9. Fees

    If fees apply, you agree to pay them per the ordering document. We may suspend or terminate for nonpayment.

  10. Liability

    Our aggregate liability arising out of or relating to the Service is capped at the fees you paid to us in the three (3) months before the claim. We are not liable for consequential, incidental, special, punitive, or lost-profit damages.

  11. Indemnity

    You will indemnify and hold us harmless from claims arising out of your unlawful use of the Service, your scripts or content, or your failure to obtain required recording/transcription consent.

  12. Term and termination

    Either party may terminate for convenience with notice. We may suspend or terminate immediately for breach, abuse, or nonpayment. Upon termination, your access ends and we will handle data per the Privacy Policy.

  13. Governing law and venue

    These Terms are governed by the laws of your chosen jurisdiction; exclusive venue will be in its courts. Class actions and jury trials are waived to the extent permitted by law.

  14. Changes to the Terms

    We may update these Terms. Material changes will be communicated, and continued use after notice constitutes acceptance.
